Terms & Conditions
Last updated: October 9, 2026
- We produce content packages for businesses and agencies. Each engagement is defined in a written proposal, and your acceptance of it by email is what starts the engagement.
- You own the final work once it is paid for.
- The pilot comes with a money-back guarantee: ask within 14 days of the final delivery and we refund the pilot and its onboarding in full. Add-ons are not covered.
- Monthly plans have no long-term contract. Cancel by email at any time.
- We never promise rankings or traffic, and you make the final call on what gets published.
These Terms govern the W3 Blue Content website and services. W3 Blue Content is operated by W3AZUL SOLUCOES WEB LTDA, a limited liability company organized in Brazil, CNPJ 54.637.385/0001-21, with its registered office at Rua Benevenuta Bartlet James, 69, Centro, Florianópolis, SC, 88015-630, Brazil ("W3 Blue Content", "we", "us"). "You" means the business or agency that uses the site or engages our services. By engaging our services, or by accepting a proposal that refers to these Terms, you agree to them.
Business use only
Our services are offered to businesses and agencies, not to consumers. By engaging us, you confirm that you act on behalf of a business and that the person accepting a proposal has the authority to bind it.
The service
W3 Blue Content produces content packages. Depending on the plan and add-ons chosen, a package can include a blog article or location page, its SEO and publishing toolkit, social copy, ad copy, an email teaser, images, video, and the strategy and review work behind them. The exact scope, volume, cadence, and fees of an engagement are set out in a proposal or statement of work accepted by you (the "SOW").
Our work is led by people. Strategists, writers, editors, and designers plan, write, and review every package, supported by a professional toolkit that includes research and analytics platforms and advanced AI models. Every piece is reviewed and edited by our team, with facts checked against their sources, before it reaches you.
Proposals, acceptance, and order of precedence
A proposal is valid for the period stated on it. The engagement is formed when you accept the proposal in writing, and a reply by email stating your acceptance is enough. That acceptance binds both parties to the conditions set out in the proposal and in these Terms, as published on this site on the date of acceptance. Work begins once the first invoice is paid and onboarding is complete. Anything outside the agreed scope, such as new topics, a different direction, or added deliverables, is handled as a new or amended SOW. If the SOW and these Terms conflict, the SOW prevails for that engagement.
Onboarding and your materials
Each new client goes through a one-time onboarding, which sets up your brand basics, voice, and plan so every package starts from the same foundation. You agree to:
- Provide accurate information about your business, brand guidelines, and the materials we ask for, on time. Delays on your side move delivery dates by the same amount.
- Send only materials you have the right to share, including logos, photos, and any information about your own clients.
- Tell us about any legal, regulatory, or industry rules your content must follow.
Delivery, review, and acceptance
We deliver each package through a private online preview and an editable document, with the image files when they are included. Please review each delivery and send any revision request within 7 business days. A deliverable with no open revision request after that period is considered accepted.
Revisions
Unless the SOW says otherwise, each content piece, image, video, and brand kit includes up to three revision rounds. A round is one consolidated set of comments on a delivery. Additional rounds are billed at the rate in the SOW or our current price list. A change of topic, angle, or brief after work has started is new scope, not a revision.
The pilot and the money-back guarantee
A pilot is a short, one-time engagement: four content packages, delivered within two weeks of kickoff, with no commitment to continue. It does not renew on its own.
If you are not happy with the pilot, for any reason, we refund it in full. You do not need to explain why. The guarantee works like this:
- What is refunded. Everything you paid for the pilot packages and for the onboarding.
- What is not covered. Add-ons ordered with the pilot, such as images, video, brand kit work, publishing, extra packages, or extra revision rounds. Charges added by banks or payment providers along the way are outside our control.
- How to ask. Email hello@w3blue.com within 14 calendar days of the final pilot delivery. We return the money to the original payment method within 10 business days.
- The refunded work. Ownership of the refunded deliverables does not transfer to you. They must not be published or otherwise used, and copies should be deleted.
- Limits. One guarantee per company. It applies only to the pilot, never to monthly plans, and starting a monthly plan closes it.
Monthly plans and cancellation
Monthly plans are billed in advance, month to month, with no long-term contract. You can cancel at any time by email. The cancellation takes effect at the end of the month already paid, and the packages of that month are delivered as planned. Changing plan or volume takes effect from the next billing month.
Fees and payment
- We work mainly with clients in the United States and also with businesses in Europe, Australia, and other countries. Fees are stated in the SOW, in US dollars unless the SOW sets another currency. For clients outside the United States, payment methods, transfer charges, currency conversion, and local taxes can differ, and the SOW states what applies.
- The onboarding fee applies once per new client.
- The pilot, the onboarding, and one-time add-ons are invoiced before work begins. Monthly plans are invoiced at the start of each month.
- We invoice as an international contractor based in Brazil, so no US Form 1099 is issued to US clients. Payment is by international wire, Wise, or another method agreed in writing. Transfer and currency conversion charges on your side are yours, so the invoiced amount arrives in full.
- Fees do not include taxes. If the law of your country requires you to withhold tax from a payment, please tell us before paying, so the invoice can be adjusted for us to receive the agreed amount.
- If an invoice is more than 10 days overdue, we may pause work until it is settled. If you have a concern about a charge, please contact us before opening a dispute with your bank.
Your responsibility for what you publish
You review and approve every deliverable before it is published, and you make the final call on any legal, medical, financial, or otherwise regulated statement in your market. We write to the compliance rules you give us and flag claims that need your confirmation, but we do not provide legal advice.
Ownership and intellectual property
- Your deliverables. Once a deliverable is paid for in full, we assign to you all rights we hold in it, including copyright, for the text and for any images or video. Until then, you may use it only to review it.
- Our tools and methods. We keep our pre-existing and general know-how, processes, templates, tools, and software. Nothing in a deliverable that depends on them limits your use of the deliverable itself.
- Images and media. Images and video are created by our team, combining design, photography, and digital tools, which may include AI-assisted generation. Where the law gives limited copyright protection to any part produced with such tools, we assign to you whatever rights exist in it. We do not use stock or third-party material without a license that allows your use.
- Portfolio. We never publish your name, logo, or deliverables without your written permission. We may describe the kind of work we do in general, anonymous terms.
Agencies and white label
When you are an agency, we work behind your brand. We do not contact your clients or disclose our role to them unless you ask us to, and preview links and documents can carry your brand. You remain responsible for your relationship with your clients, for having their permission to share their information and materials with us, and for passing their approvals and requirements to us.
Non-solicitation
During an engagement and for 6 months after it ends, you agree not to hire or engage directly any member of our team or any writer or editor who worked on your account, and we agree not to approach, directly or indirectly, any of an agency's clients we came to know through that agency.
Confidentiality
Each party will keep the other's non-public information confidential, use it only to perform the engagement, and protect it with at least reasonable care. This does not cover information that is public, already known, independently developed, or that must be disclosed by law. We are happy to sign your NDA or provide ours.
No guarantee of results
We produce content to a professional standard through a defined process. We do not guarantee rankings, traffic, leads, or revenue, because they also depend on your domain, authority, links, competition, and search engine changes that sit outside content production.
Warranties
We warrant that our services are performed with professional care and that the text we write is original and, to our knowledge, does not infringe anyone's rights. Except for this and for the pilot guarantee, the site and services are provided "as is", and to the fullest extent permitted by law we disclaim all other warranties, express or implied.
Indemnification
You will defend and hold us harmless against third-party claims arising from the materials you supply or from content you change or publish against our written advice. We will do the same for third-party claims that original text we wrote infringes their intellectual property, subject to the limit below.
Limitation of liability
To the fullest extent permitted by law, each party's total liability arising from these Terms or an engagement is limited to the fees paid to us in the three months before the event that gave rise to the claim. Neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost data. These limits do not apply to your obligation to pay fees, to breaches of confidentiality, or to liability that cannot be limited by law.
Termination
Either party may end an engagement if the other materially breaches these Terms or the SOW and does not fix it within 10 days of written notice. Fees for work delivered up to the end date remain payable, and the sections on ownership, confidentiality, non-solicitation, liability, and disputes continue after the engagement ends.
Events outside our control
Neither party is responsible for delays caused by events beyond its reasonable control, such as natural disasters, outages of essential providers, or government action, as long as it notifies the other party and resumes as soon as possible.
Independent parties
We are an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship between the parties.
Governing law and disputes
These Terms and every engagement are governed by the laws of Brazil. The parties will first try to resolve any dispute in good faith by email for 30 days. If that fails, the courts of the judicial district of Florianópolis, Santa Catarina, Brazil, have exclusive jurisdiction, unless the SOW sets a different forum. Either party may still seek urgent relief to protect its confidential information or intellectual property in any competent court. Any claim must be brought within one year of the event that gave rise to it, unless the law requires a longer period.
General
- These Terms and the SOW are the entire agreement between the parties about an engagement.
- If a provision is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it.
- Neither party may assign an engagement without the other's consent, except to a successor of its business.
- Notices are given by email to the addresses the parties use for the engagement.
- These Terms are written in English, and the English version prevails over any translation.
Changes to these Terms
We may update these Terms from time to time and will post the new version here with its date. Changes apply to engagements that start after the update. For an ongoing monthly plan, we will email you at least 30 days before a change takes effect.
